By participating in the Contest all entrants explicitly agree to the following terms and conditions: The contest is open to legal residents of the United States, except as set forth above. All federal, state and local laws and regulations apply. The contest is void where prohibited or restricted by law. Winners are solely responsible for all incidental charges and any state, local or federal taxes associated with the winning of a prize. As consideration for being permitted to enter the contest and win a prize, you hereby grant to AA, its affiliates and subsidiaries and their successors and assigns an unlimited, unrestricted, royalty-free license to use your name, image and photograph in any print, electronic or other medium now existing or developed in the future including, but not limited to, use on the www.myamericanartist.com website, without restriction as to frequency or duration of usage. You understand and agree that American Artist, its affiliates and subsidiaries, and their respective directors, officers, stockholders and employees shall not be liable for (i) any condition caused by events beyond their control that may cause the contest to be disrupted or delayed; or (ii) any injuries, liabilities, losses or damages of any kind arising in connection with or as a result of any prize, or acceptance, possession or use of any prize, or from participation in the contest. You agree to release, defend, indemnify and hold American Artist, their affiliates and subsidiaries, and their respective directors, officers, stockholders and employees harmless from and against any losses, liabilities, damages, rights, claims and actions of any kind in connection with the contest, your entry, or resulting from the acceptance, possession or utilization of any prize, including without limitation, intellectual property infringement, personal injury, death, property damage, claims based on publicity rights, defamation or invasion of privacy. You agree to abide by the terms of these official rules and by the decisions of American Artist which are final and binding on all matters pertaining to this contest. Neither American Artist, nor its affiliates, subsidiaries, divisions or related companies are responsible for any damages, taxes, or expenses that the winners might incur as a result of this contest or receipt or use of prizes. You further acknowledge that American Artist is not responsible or liable for any warranty, representation, or guarantee express or implied, in fact or in law, relative to any prize. No substitution of prizes shall be permitted. Prizes are non-transferable and cannot be redeemed for cash. American Artist reserves the right to substitute a prize of equal or greater value. If for any reason this contest is not capable of running as planned due to acts beyond the control of American Artist, including acts of force majeure, acts of war, domestic terrorism, fraud, technical failures, or any other causes beyond the control of American Artist which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this contest, American Artist reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the contest. American Artist assumes no responsibility for any error or defect, delay in operation or transmission, theft or destruction or unauthorized access to, or alteration of, entries. You agree that these rules shall be governed by the laws of the state of New York without regard to its conflicts of laws and principles and you hereby irrevocably submit to the exclusive jurisdiction of the federal and state courts located in the Southern District of New York in connection with any and all matters involving American Artist or the contest.
